These Terms of Service (“Terms”) are a binding agreement between you (“you” or the “Customer”) and Parsela Private Limited (“Parsela”, “we”, “us”), CIN U62091UW2026PTC254967, a company incorporated under the Companies Act, 2013, governing your access to and use of the Parsela platform and website at parselaai.com (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
Parsela provides a business-to-business freight-forwarding operational-intelligence platform, including document extraction, interpretation, and workflow tooling. We may modify, enhance, or discontinue features from time to time.
The Service may present automated outputs, suggestions, or decisions generated by machine-learning models. These are provided as operational aids and should be reviewed by you where appropriate; they are not a substitute for your own verification.

“Customer Data” means the documents, communications, and other data you submit to the Service. As between you and us, you retain all rights in Customer Data. You grant us a limited, non-exclusive licence to host, process, and use Customer Data solely to provide and support the Service and as described in our Privacy Policy.
You are responsible for ensuring you have the necessary rights and consents to submit Customer Data, including any personal data it contains.
The Service, including all software, models, designs, text, and trademarks (including the “Parsela” name and logo), is owned by Parsela Private Limited or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted to you, no rights are transferred. Any feedback you provide may be used by us without restriction or obligation.
Where the Service is provided free of charge or in preview, we may introduce fees in future on reasonable notice. Any applicable commercial terms — pricing, billing, and taxes — will be set out in an order form or separate agreement.
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to those with a need to know who are bound by confidentiality obligations.
Except as expressly stated, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that automated outputs will be accurate or complete.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms will be limited to the amount set out in the applicable order or, where no amount applies, to the fullest extent the law allows.
You agree to indemnify and hold Parsela harmless from claims arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
We may update these Terms from time to time. When we make material changes, we will provide reasonable notice — for example, by posting the updated Terms with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of India, and the courts at Gautam Buddha Nagar, Uttar Pradesh will have jurisdiction, subject to any dispute-resolution mechanism agreed in an order form.
